About these terms These Terms of Service were drafted for Flash AI Setup LLC's $199-per-month managed-subscription model against current US law — the Restore Online Shoppers' Confidence Act (ROSCA) and California's Automatic Renewal Law for the auto-renewal disclosures in Section 2, ordinary month-to-month SaaS practice for the refund and cancellation terms in Section 3, and standard agency work-product ownership for the licensing split in Section 5. They are intended to be usable as written. As with any contract, a brief review by a US-licensed attorney before you begin charging customers remains advisable.

Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website at flashsetup.com and the services provided by Flash AI Setup LLC ("Flash Setup," "we," "us," or "our"). By using the Services, subscribing, or submitting a form, you agree to these Terms.

1. The Services

Flash Setup provides a monthly subscription for independent fitness coaches and personal trainers. The service is fully done for you. Your subscription includes:

Your website. We build a website for you and publish it on your own domain. You own the website files, the content, and the domain. See Section 5.
A managed backend, run for you. We set up and run a booking system, a CRM, lead automations, forms, a client app, and review collection on your behalf. This backend runs in a management-platform account that we set up and operate for you.
Hosting and edits. We host your website. We also make the content edits you request, delivered asynchronously through forms and email.

Async delivery. The Services are delivered asynchronously through forms and email. Phone or video calls are optional and are never required. You may ask for a call before you subscribe.

2. Pricing and Auto-Renewal

The subscription is $199 per month (US dollars). We bill it in advance through our payment processor, Stripe. Any applicable taxes are added at checkout.

Your affirmative consent to recurring charges. Before your first charge, we disclose these recurring-charge terms to you — the $199 amount, the monthly billing frequency, that the subscription continues until cancelled, and how to cancel. You enroll by taking a clear affirmative step: checking an unchecked consent box or clicking the subscribe or pay button. We do not use pre-checked boxes, and we do not treat silence or inaction as consent. By completing enrollment, you expressly authorize Flash Setup to charge the recurring $199 monthly fee to your payment method until you cancel, and we keep a record of that consent.

Price or term changes. If we change the subscription price or these renewal terms, we will notify you by email in advance. Any change applies only to future billing periods, and you may cancel before it takes effect. Where your state's law requires renewal or price-change notices or additional cancellation rights, we honor them.

3. Refunds & Cancellation

Cancel anytime, the easy way. You can cancel at any time, and cancelling is at least as easy as signing up. Email jason@flashsetup.com, or use your Stripe billing portal. We act on your request promptly and confirm it by email.
When cancellation takes effect. Cancellation takes effect at the end of the monthly billing period you have already paid for. You keep the managed backend through the end of that paid period, and we do not bill you again after you cancel.
No proration, no fees. Except under the money-back guarantee below, we do not prorate or refund a partial month once a billing period has started. There is no contract term, no cancellation fee, and no rejoin fee.
1-year money-back guarantee. If you are not satisfied, email us any time within twelve (12) months of your first monthly charge and we will refund what you have paid, in full. This satisfaction guarantee is offered once per customer.
What you keep when you cancel. You keep your website, its files, and your domain. They stay yours. The managed backend stops: booking, CRM, automations, forms, the client app, and review collection are switched off and deprovisioned. On request, we will help you move your site to another host at no charge. See Section 5.

4. Your Responsibilities

Fill out the intake form accurately. Confirm that you own or have licensed the rights to every photo, logo, and testimonial you supply for your website.
Keep up your own outside accounts, such as your domain registrar and payment processor.
Follow the laws that govern your coaching business. This includes certification and health-claim rules.
Give your own leads and clients the privacy notices and consents they are owed. This covers data collected through the booking system and CRM we run for you. See our Privacy Policy for our role in that data.
Do not use the Services to publish content that is unlawful or deceptive.

5. Ownership and Transfer-Out

What you own, permanently.

Your domain. It is registered in your own account, in your name, from day one. We connect it for you. We never own it.
Your website. On launch, you own the website files and the content built for you. On full payment for the billing period in which your website goes live, we assign to you all right, title, and interest in those website files and the custom content we create for you — other than the reusable components described below. Your ownership does not depend on your subscription. If you cancel, you keep the website and the domain.

What we license to you for the subscription term. The managed backend is licensed to you, not sold. This includes the management-platform sub-account we run for you, its configuration, the booking system, the CRM, the automations, the forms, the client app, and review collection. Your right to use these lasts only while your subscription is active. When you cancel, this license ends and we deprovision the backend. Your website and domain are unaffected and remain yours.

What we keep. We retain all right, title, and interest in the reusable templates, components, designs, code, and processes that we use across clients (our "Reusable Materials"), including anything we developed before or independently of your project. Where our Reusable Materials are built into your website, we grant you a perpetual, worldwide, royalty-free license to use them as part of that website.

Free transfer-out, forever. At any time, on request, we will give you your website files and reasonable help to move your site to another host or provider, at no charge.

6. SMS / Text Messaging Terms

Compliance note — SMS pending re-registration [COMPLIANCE: A2P re-registration required before any SMS.] The SMS program described below was registered for a prior use case. It is pending A2P / 10DLC re-registration for the coach-program and client-messaging use case. No SMS messages are sent under this program until that re-registration is complete. The disclosures below are preserved from the registered campaign and must not be edited except together with a re-registered A2P campaign.

By providing your mobile number and affirmatively opting in via a Flash Setup form, you agree to these SMS Terms in addition to our general Terms of Service and Privacy Policy.

Program description.

Flash AI Setup LLC operates an SMS program that delivers: (a) appointment confirmations and reminders for booked discovery calls and consultations; (b) follow-up messages related to your inquiry or engagement; (c) operational, account, and service notifications; and (d) informational messages relating to web-design and marketing services you requested information about. This program is operated by Flash AI Setup LLC on behalf of Flash AI Setup LLC; we do not resell, sub-lease, or share access to this program with any other brand.

Consent.

Enrollment requires your affirmative, opt-in consent via an unchecked checkbox on a Flash Setup form, or via a verified two-way SMS opt-in. Consent to receive SMS messages is not a condition of purchasing any product or service from us.

Message frequency.

Message frequency varies. You can typically expect between 2 and 6 messages per month, though volume may increase during active engagements.

Costs.

Message and data rates may apply. Flash Setup does not charge a fee to send or receive SMS, but your wireless carrier may.

Opt-out (STOP).

You may cancel the SMS program at any time by texting STOP to the number from which you received messages. After you send STOP, we will send you one final confirmation. You will not receive any further messages unless you re-enroll. To re-enroll, complete the opt-in form again on our website.

Help (HELP).

Text HELP to any of our messages for support information, or contact support@flashsetup.com.

Supported carriers.

The program is available on most major US carriers including AT&T, T-Mobile, Verizon Wireless, Sprint, Boost, US Cellular, MetroPCS, and others. Carriers are not liable for delayed or undelivered messages.

No guarantee of delivery.

SMS delivery is subject to effective transmission from your wireless service provider and is not within our control. We are not responsible for any delayed or undelivered SMS messages.

Eligibility.

You must be at least 18 years old and the authorized account holder or user of the mobile number you submit. You agree not to provide a mobile number that does not belong to you.

Privacy.

Our use of your mobile number and SMS opt-in data is governed by our Privacy Policy. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes.

Modifications.

We may modify or terminate this SMS program at any time, with or without notice, without liability to you.

7. Disclaimers

The Services are provided "AS IS" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. Flash Setup does not warrant that the Services will be uninterrupted or error-free, nor that any results will be achieved (e.g., specific lead volume, client signups, or revenue).

8. Limitation of Liability

To the maximum extent permitted by law, Flash Setup's total liability for any claim arising out of or relating to these Terms or the Services shall not exceed the amount paid by you to Flash Setup in the 12 months immediately preceding the claim. Flash Setup will not be liable for any indirect, incidental, special, consequential, or punitive damages.

9. Indemnification

You agree to indemnify and hold Flash Setup harmless from any claim, loss, or damage (including reasonable attorneys' fees) arising from your use of the Services, your content (including photos or testimonials you supply without adequate rights), the data of your own leads and clients that you process through the backend we run for you, or your violation of these Terms or applicable law.

10. Governing Law

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws principles. You and Flash Setup agree that any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state courts located in Prince William County, Virginia, or in the United States District Court for the Eastern District of Virginia, and you consent to the personal jurisdiction of those courts. Nothing in these Terms waives any non-waivable rights or remedies you may have under the consumer-protection laws of your own state of residence.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted here with an updated "Last Revised" date. Continued use of the Services after changes are posted constitutes acceptance.
